Honeywell Sells Intelligrated, Transnorm to AIP

Honeywell has agreed to sell its Warehouse and Workflow Solutions (WWS) business — comprising the Intelligrated and Transnorm brands — to American Industrial Partners (AIP), a private equity firm focused on industrial businesses. The transaction is expected to close in the second half of 2026.

A $935M warehouse-automation carve-out

Intelligrated and Transnorm are leading providers of supply-chain and warehouse-automation projects, products and services, generating approximately $935 million in revenue in 2025. The portfolio spans automated sortation systems, palletizers, conveyors, robotics and aftermarket software. Deal terms were not disclosed.

Combining with Trew Automation

AIP plans to combine WWS with its existing portfolio company Trew Automation to build a differentiated material-handling platform. "As demand for warehouse automation continues to grow, driven by e-commerce, labor shortages and supply-chain digitization, WWS is well-positioned to capitalize on these tailwinds," said AIP partner Murray Grainger.

Another step in Honeywell's breakup

The divestiture is the latest move in Honeywell's strategic breakup. Days earlier, the company agreed to sell its Productivity Solutions and Services unit to Brady Corporation for $1.4 billion, after spinning off its advanced materials business as Solstice in 2025. Honeywell originally bought Intelligrated for about $1.5 billion in 2016 and Transnorm for roughly €425 million in 2018. The exit reflects continued consolidation in logistics robotics, a sector also seeing heavy deployment activity from players like Maersk and Plus One Robotics, and mirrors broader M&A momentum such as Analog Devices' Empower deal.
