Anthropic, PBC has confidentially submitted a draft Form S-1 registration statement to the U.S. Securities and Exchange Commission for a proposed initial public offering of its common stock, the Claude maker disclosed on its newsroom Monday. The filing puts the lab in the same blockbuster 2026 IPO queue as SpaceX, Quantinuum and the Honeywell HONA spin-off.

Confidential Filing, Mega-Cap Setup

The confidential route, allowed under JOBS Act provisions, lets Anthropic and its bankers work through SEC comments before publicly disclosing financials, risk factors and customer concentration. Share counts and price ranges have not been set. The announcement was issued under Securities Act Rule 135, meaning it is not an offer to sell and not a solicitation of an offer to buy.

From $65B Series H To IPO Lane

The S-1 lands less than a week after Anthropic closed a $65 billion Series H, a private round that pushed the company's post-money valuation to roughly $965 billion. Recent press coverage has put the company's revenue run-rate at about $47 billion as of May 2026, up from roughly $10 billion a year earlier. A successful IPO at or near the latest private mark would crown the largest tech public debut on record, edging the $75 billion fixed-price IPO SpaceX set last week.

The Bigger AI Capital Race

Anthropic's filing accelerates a sprint in which both Anthropic and OpenAI are now testing public markets in parallel. With NVIDIA's Vera CPU and continued capacity expansion underway across the largest cloud providers, the IPO window opens just as agentic workloads, healthcare partnerships like Microsoft–Mayo Clinic, and frontier-lab regulation become front-page news. For employees and existing investors, the filing also opens a path to liquidity that has been almost entirely absent from the AI cohort since 2022.

What Could Stall It

The proposed IPO is explicitly contingent on market conditions and SEC review timing. Anthropic also faces a fresh policy headwind in the recently issued executive order requiring frontier labs to share certain models with the U.S. government for 30 days before public release, and Congress is debating the Great American Artificial Intelligence Act draft unveiled June 4. Each of those threads could complicate disclosure timing or push the pricing window. Either way, Anthropic just made the most consequential filing of the year.
