Anthropic, the San Francisco AI safety lab behind the Claude family of large language models, confidentially submitted a draft registration statement to the U.S. Securities and Exchange Commission on Monday, June 1, 2026, signalling that one of the most closely watched private AI companies in the world is preparing to enter the public markets.

What Anthropic Filed

The S-1 filing does not yet specify the number of shares to be offered or a target price range. Under SEC rules, Anthropic must publicly release its prospectus at least 15 days before launching a roadshow, which means investors will see the company's first detailed financial disclosures later this summer.

The submission comes less than a week after Anthropic finalized a $65 billion Series H round that valued the company at $965 billion, making it the most valuable private AI lab in the world.
