What the filing reveals

The amendment formalizes a primary share count and disclosure improvements that the SEC had flagged during the original 2024 review. Cerebras’s most recent pre-IPO funding was a $1 billion Series F led by Tiger Global in February 2026 at a $23.1 billion valuation, an anchor that frames the IPO range and the post-money market cap.

Why Cerebras matters in AI compute

Cerebras builds the Wafer-Scale Engine, a single chip the size of a dinner plate purpose-built for AI training and inference. The company has been signing multi-billion-dollar inference deals with sovereign and enterprise customers, positioning its CS-3 systems and inference cloud as an alternative to GPU clusters from NVIDIA for specific large-batch workloads.
