Hadron Energy, Inc. (Nasdaq: HDRN) announced on May 26, 2026 that it has completed its business combination with GigCapital7 Corp., a special-purpose acquisition company, and begun trading on the Nasdaq Stock Market. The closing makes Hadron the first publicly traded light-water micro-modular nuclear reactor (MMR) developer, opening a new equity-market access point for advanced-reactor technology.

About the Halo Micro-Modular Reactor

Hadron is developing the Halo MMR, a 10-megawatt electric, factory-built, transportable light-water reactor designed to deliver continuous carbon-free baseload power with a 10-year refueling cycle. The Halo's vessel, core and containment shell are truck-transportable, allowing deployment at AI data centers, industrial hubs, defense installations, remote communities and critical infrastructure where traditional grid power is not practical.

Cash, valuation and capital structure

Hadron and GigCapital7 together secured approximately $31 million of equity capital with zero debt at closing. After roughly $6.5 million of transaction expenses, the company expects to have about $24.45 million in cash on its balance sheet. The pro-forma equity valuation at closing was approximately $766 million. About $28 million was retained from the GigCapital7 trust account through non-redemption agreements with shareholders, exceeding the $20 million minimum cash threshold set in the merger agreement. An additional $7.5 million was raised via SAFE bridge financings prior to closing.

Why a light-water design matters

Unlike many advanced-reactor developers pursuing High-Assay Low-Enriched Uranium (HALEU) or TRISO fuel — both of which face known supply-chain bottlenecks — Hadron's Halo MMR is designed to use Low-Enriched Uranium+ (LEU+), plugging into the established commercial fuel cycle that already powers approximately 95% of operating U.S. and global reactors. Hadron also secured a domestic uranium conversion agreement with ConverDyn in April 2026 to lock in fuel supply.

Regulatory and deployment momentum

Hadron submitted a Principal Design Criteria whitepaper to the U.S. Nuclear Regulatory Commission on April 22, 2026 to formalize the licensing framework for its Manufacturing License and combined Construction Permit and Operating License applications. In late April, the company announced a multi-project deployment framework with Smartland Energy covering up to five qualified projects representing roughly 1.8 GWe of aggregate capacity. It also disclosed an instrumentation and control collaboration with Paragon Energy Solutions, a Mirion Technologies company.

The bigger SMR story

Hadron's listing arrives as governments and utilities race to commercialize small reactors for AI data centers and grid decarbonization. The U.S. Department of Energy recently awarded $94 million to eight companies to support light-water SMR deployment, while Rolls-Royce SMR tapped Skoda JS and Doosan for reactor pressure vessels. The micro-reactor category is also drawing fresh public-market capital from solid-state battery peers — ProLogium recently announced its own Nasdaq listing aimed at scaling next-generation energy infrastructure.

What's next for HDRN

CEO Sam Gibson said Hadron will use its capital to advance NRC licensing milestones, scale supplier capacity and deepen its customer pipeline for industrial, data-center and defense sites. The Halo design is engineered for a 10-year operating cycle between refueling and a 50-year operating life, positioning the company for long-duration contracts with infrastructure operators.
