Intel priced a $20 billion registered common stock offering on August 10, 2026, pricing 210,526,315 shares at $95 apiece as the chipmaker moves to bolster its balance sheet for a costly transition to 14A-node production and its AI factory buildout.

Upsized after $100B in demand

The Santa Clara giant originally proposed a $15 billion raise, but Intel said in a statement it upsized the deal after book-runners fielded orders worth more than $100 billion. Net proceeds are expected to be roughly $19.7 billion once fees are stripped out, with the offering set to close August 12. The company will use the money for "general corporate purposes, which may include, but are not limited to, capital expenditures and working capital."

Why now for the balance-sheet reset

The share sale lands as Intel accelerates capacity for its Intel 18A and next-generation Intel 14A nodes and readies the internal ramp of its Panther Lake and Clearwater Forest silicon. Management has also disclosed the U.S. government's acquisition of significant equity interests in the company as part of a wider industrial strategy tied to the CHIPS Act. Priced at a roughly 6.5% discount to Friday's close, the raise underscores investor appetite for U.S. foundry exposure at a moment when AI demand is exceeding foundry supply.

Wall Street's biggest banks lead

J.P. Morgan, Goldman Sachs, Morgan Stanley and Citi acted as joint book-running managers, with Barclays, BofA, BNP Paribas, Credit Agricole CIB, Deutsche Bank, Mizuho, RBC, TD, Wells Fargo and Cantor also running the book. The raise is one of the largest single U.S. equity offerings of 2026 and, alongside government support and vendor financing, represents the third leg of Intel's capital plan for the AI silicon era.
