Publicly traded Volato Group (NYSE American: SOAR) said on August 26 that it had signed a definitive agreement to merge with Alignment Engine, Inc., an Ohio-based AI infrastructure company, in a transaction valuing Alignment Engine at approximately $500 million.
From private jets to GPU racks
The deal completes Volato's pivot away from its private-aviation roots into advanced AI infrastructure, high-performance computing and data center development. Volato said Alignment Engine's powered industrial campus in Ohio offers 154 MW of electricity available today, with a near-term roadmap to 480 MW—exactly the kind of stranded-power capacity that data center developers have been fighting over as AI training and inference load surges.
Volato CEO Matt Liotta framed the tie-up as the payoff from months of quiet dealmaking: "When we announced our move into AI infrastructure, we said we were looking for an opportunity capable of fundamentally changing the scale and direction of Volato. Alignment Engine is the result."
Why 154 MW of ready power matters
Alignment Engine chief executive Chris Ensey said the Ohio site's biggest differentiator is that the power exists now: "We aren't starting with a greenfield site and a plan to find power. We have a powered industrial campus and 154 MW available today with a path to 480 MW of capacity." Alignment Engine's stack combines that capacity with GPU-based compute, advanced networking and proprietary technology optimized for AI training and inference workloads.
Structure and timing
Volato said closing is expected shortly after execution of the definitive agreement, subject to customary closing conditions. The transaction does not require Volato stockholder approval to close, though a stockholder vote will follow for the conversion of convertible preferred stock issued to Alignment Engine shareholders into Volato Class A common stock. SOAR remains the publicly traded parent.
Another sign the power crunch is the new AI moat
The deal joins a growing list of AI-driven mega-transactions and infrastructure bets aimed at solving the compute constraint. Recent milestones include the expanded AWS–NVIDIA 2-million-GPU pact, the $150 million Series A for grid-flexible data-center software firm Emerald AI and the wave of SMR partnerships aimed at powering next-generation AI factories.
Volato shares rallied more than 60% following the announcement, in a market capitalization jump that briefly eclipsed the pre-deal float.
