Cohere and Aleph Alpha announced on April 24 that they intend to merge, creating a $20 billion combined entity aimed squarely at the enterprise and sovereign AI market. The deal is anchored by a $600 million structured financing commitment from Schwarz Group, the German retail conglomerate that operates Lidl and Kaufland and has been investing heavily in European data sovereignty through its STACKIT cloud and Schwarz Digits arms.

The strategic logic

Toronto-based Cohere has spent the past three years carving out a niche as the privacy-first foundation-model vendor of choice for banks, governments and large industrials. Heidelberg-based Aleph Alpha pivoted in 2024 from competing on frontier model performance toward an integration-and-services posture for European customers under its PhariaAI platform. The combined company will pair Cohere's Command and Embed model families with Aleph Alpha's sovereign deployment stack and existing German government and defense customer base.

Why Schwarz is writing the check

Schwarz Group has become one of the most aggressive corporate AI investors in Europe, viewing data sovereignty as both a regulatory necessity under the EU AI Act and a competitive moat against US hyperscalers. The $600 million commitment is structured to anchor the combined entity's commercial rollout and on-premise infrastructure expansion. Schwarz will be a long-term strategic partner and customer rather than a controlling shareholder, executives said.

Context: Europe's sovereign AI scramble

The merger lands in a broader transatlantic reshuffle of the AI vendor landscape. Defense AI leader Helsing closed a $1.2 billion round at an $18 billion valuation last month, and France's Mistral, the UK's Stability AI and a handful of national champions are all reshaping their go-to-market around sovereign deployments. Anthropic's recent $6.5 billion Series H shows the gap in capitalization between US and European labs remains wide, which the Cohere-Aleph Alpha deal is explicitly designed to narrow.

What's next

The combined company will operate under the Cohere brand with Aleph Alpha co-founder Jonas Andrulis joining the leadership team. The transaction is expected to close in the second half of 2026 subject to regulatory clearance in Germany, Canada and the United States. Management said the merged entity will focus on regulated industries - financial services, public sector, healthcare and defense - where on-premise and sovereign deployments are non-negotiable.
