Nasdaq-listed GMEX Robotics Corporation (NASDAQ: GMEX) has entered a definitive share-purchase agreement to take an initial 30% fully-diluted stake in Alpha Meta AI Pte. Ltd., the Singapore entity behind MediaMeta.Ai, with an option to increase the holding to a controlling interest. Announced on July 28, 2026 from Sydney, the deal also gives GMEX an exclusive, royalty-free, perpetual licence to MediaMeta's intellectual property, software, AI systems, models and robotics-related data.
How the transaction is structured
Consideration will be paid through a mix of cash and GMEX common shares under terms still to be disclosed. MediaMeta has agreed to a make-good provision tied to more than USD $52.6 million in revenues over the five years following closing, with adjustments or partial refunds if the target is missed. Closing is contingent on the completion of legal, financial, tax, IP, cybersecurity and AI due diligence, plus regulatory and third-party approvals.
Social intelligence for consumer and healthcare robots
MediaMeta.Ai is developing "social world models" that map behavioural dynamics, cultural context and emotional signals so AI systems can better interpret human situations. GMEX intends to layer that reasoning stack across robots destined for hospitality, healthcare, assisted-living, education and retail deployments. "We cannot advance human civilization with technology that does not understand humans," said Sam Lu, CEO of GMEX Robotics. "AI systems that operate without this understanding are fundamentally limited in the environments that matter most."
Second GMEX AI tie-up in weeks
MediaMeta co-lead Mark March said the deal will bring "contextual awareness and behavioural understanding into robotics applications where trust, empathy, and human collaboration are essential." It follows GMEX's earlier letter of intent for a California physical-AI wireless-connectivity target and slots into the broader race between industrial and consumer robotics platforms, from Hyundai's NVIDIA-backed reference platform to Kalanick's $1.7B Atoms, to bolt richer world models on top of hardware. GMEX plans to disclose additional terms via a Form 6-K with the SEC.
