Diodes Incorporated will buy fabless test-chip designer ElevATE Semiconductor for $250 million in all-cash, the Plano, Texas company said in a July 14, 2026 announcement filed with the SEC, its latest push to bulk up its analog and mixed-signal lineup for the automated test equipment (ATE) market.

Deal Terms

The transaction is expected to close in the second half of 2026, subject to regulatory approvals. Diodes said it expects the deal to be immediately accretive to revenue, gross margin and earnings per share, and to add roughly $50 million of revenue in the first 12 months post-close — growing at more than a 20% CAGR over the following four years, with gross margins significantly above Diodes' corporate average.

What ElevATE Brings

ElevATE is a San Diego fabless chipmaker specializing in the highest-density, lowest-power ICs used inside ATE tools: pin electronics, parametric measurement units, comparators, drivers, DACs and power management. Its silicon plugs into system-on-chip, memory, burn-in and in-circuit test platforms — the equipment used to grade advanced automotive, industrial, data-center and AI chips before they ever ship. Presidio Investors, ElevATE's owner, ran the sale process. Diodes plans to fold the ElevATE team in as a new advanced product line.

Why Now

"The explosive growth, increasing complexity, and higher performance requirements of ICs used in automotive, industrial, data center, and AI applications are driving greater semiconductor production volumes, and in turn, increasing demand for automated test equipment," Diodes President and CEO Gary Yu said in the announcement. The pitch mirrors the argument Applied Materials made last week when it printed a record $9.12 billion Q3 on AI fab spending, and it matches the utilization crunch SMIC pointed to when it lifted chip prices this month as fabs push past 93% utilization.

Bigger M&A Picture

The ElevATE tie-up extends 2026's brisk cadence of AI-adjacent chip consolidation, alongside ON Semiconductor's pending $7 billion Synaptics purchase and Analog Devices' recently closed acquisition of Empower Semiconductor. For Diodes, it opens a new performance vector inside a portfolio that historically leaned on discretes and power. ElevATE CEO Jan Gaudestad said the combined footprint will let customers "elevate their tester performance" with a much larger portfolio and Diodes' global manufacturing scale.
