Quantum computing leader IonQ (NYSE: IONQ) said on July 28, 2026 it has received final regulatory approval to complete its $1.8 billion acquisition of SkyWater Technology (NASDAQ: SKYT), the largest exclusively U.S.-based semiconductor foundry. The companies plan to close the deal on Friday, July 31, 2026, creating what IonQ calls the only vertically integrated full-stack quantum platform company.

FTC Green Light Ends A Six-Month Regulatory Review

The clearance follows an early termination notice from the U.S. Federal Trade Commission, ending the review that began when the two companies announced their definitive merger agreement in January 2026. Under the terms first disclosed at that time, IonQ will absorb SkyWater's Bloomington, Minnesota fab plus additional facilities in Florida and Texas, and SkyWater will continue to operate as a wholly owned subsidiary under its existing brand and management. That structure preserves SkyWater's Technology as a Service model for commercial customers and federal defense programs, while giving IonQ dedicated fabrication lines for its trapped-ion chip roadmap.

An End To Foreign Chip Dependency For Trapped-Ion Quantum

Post-close, IonQ says it will be the only quantum hardware maker in the world that designs, builds and ships its chips entirely on U.S. soil. Rival trapped-ion companies including Quantinuum currently rely on Germany's Infineon Technologies to fabricate the ion-trap chips at the heart of their systems, a supply chain constraint that has repeatedly surfaced in DARPA and DoE quantum benchmarking reviews. SkyWater is a DMEA-accredited Category 1A Trusted Foundry, so the combination also positions IonQ to bid on classified programs where foreign-sourced silicon is disqualified up front.

A Bridge To The Tempo Roadmap And 2M-Qubit Ambition

IonQ has said the acquisition will materially accelerate its quantum computing roadmap, which centers on the recently unveiled IonQ Tempo system and, longer term, an architecture the company projects can scale to more than 2 million physical qubits. The company will also inherit SkyWater's superconducting, MEMS and photonics process nodes, all directly relevant to IonQ's networking, sensing and security lines. IonQ recorded 99.99 percent two-qubit gate fidelity in 2025, and management has repeatedly told investors that owning the fab is what unlocks the next fidelity and throughput gains.

What Comes Next: Q2 Earnings And A September Investor Day

The combined company plans to hold its second quarter 2026 earnings call on Wednesday, August 5, 2026 and an investor day on Sept. 8, 2026, where management is expected to lay out an integrated capex plan, Trusted Foundry roadmap and updated Tempo timeline. IonQ has quietly become one of the busiest deal makers in quantum, following a recent partnership with Archer Materials in Australia and the launch of the 256-qubit trapped-ion testbed in Dublin with Horizon Quantum. The SkyWater close will nonetheless be its most consequential move to date, and one closely watched by peers such as Quantinuum and by federal chip policy makers who see domestic quantum manufacturing as strategic infrastructure.
